DZUG held the first meeting of the 11th board of directors in the first conference room on the 21st floor of the group on the afternoon of June 22, 2020. All the directors of the company attended the meeting, and the supervisors and senior management of the company attended the meeting as nonvoting delegates. The meeting was presided over by Yang Guoping, chairman of the board of directors. After careful deliberation, the attending directors passed the following proposals:
1. Yang Guoping was elected chairman of the 11th board of directors of DZUG.
2. Liang Jiawei was appointed president of DZUG.
3. Yang Weibiao and Jinbo were appointed as vice presidents of DZUG.
4. Jiang Yun was appointed as the chief financial officer of DZUG.
5. Jin Bo was appointed secretary of the 11th board of directors.
6. Cao Jing was appointed as the authorized representative of securities affairs of the 11th board of directors.
7. The 11th board of directors set up the remuneration and assessment committee, with members of Wang Kaiguo, Yang Guoping and Liu Zhengdong. Wang Kaiguo served as chairman and Liang Jiawei as executive secretary.
8. The eleventh board of directors set up an audit committee. Its members are Zou Xiaolei, Wang Kaiguo and Liu Zhengdong. Zou Xiaolei is the chairman and Cao Jing is the executive secretary.
9. The 11th board of directors set up a nomination committee with members of Liu Zhengdong, Yang Guoping and Wang Kaiguo. Liu Zhengdong is the chairman and Cao Jing is the executive secretary.
10. The 11th board of directors set up a strategic development committee with members of Yang Guoping, Liang Jiawei and Qu Jia. Yang Guoping is the chairman of the Committee and Jin Bo is the executive secretary.
The term of office of the above personnel shall expire at the expiration of the 11th board of directors of DZUG.
Previously, Zhuang Jianhao was elected chairman of the 11th board of supervisors at the first meeting of the 11th board of supervisors. Cao Jing was appointed secretary of the 11th board of supervisors.
